Welcome to the Arenpi, Inc. website (the “Site”). These Terms of Use (the “Terms”) create a legal agreement between you (“You”, “User”) and Arenpi, Inc. (“Arenpi” , “us”)

You agree that by registering, accessing, or using our Site, you are agreeing to enter into a legally binding contract with Arenpi. If You do not agree to these Terms, do not register, access, or otherwise use any of our services. (“Service”)

Arenpi may change these Terms of Use from time to time. Your continued access or use of the Site constitutes your acceptance of such changes. Your access and use of the Site will be subject to the current version of the Terms of Use, rules and guidelines posted on the Site at the time of such use. Please regularly check the "Terms of Use" link on the home page of arenpi.com to view the then-current terms. If you breach any of the Terms of Use, your license to access or use this Site shall automatically terminate.

These Terms don't create any agency, partnership, joint venture, employment, or franchisee relationship between you and Arenpi.

If you publish content on the Arenpi platform, you must also agree to the Designers Terms.

In order to access most of our Services including to purchase and access content or to submit content for publication, you’ll need to create an account with Arenpi. Here are a few rules about accounts with Arenpi:

• You’re solely responsible for protecting the confidentiality of your password and/or email address. Use of your password by any other person may result in the immediate cancellation of the Services. Any use of your registration information by any other person, or third parties, is strictly prohibited. You agree to immediately notify Arenpi of any unauthorised use of your password or email address or any breach of security of which you have become aware.
  
• You represent and warrant that: (a) all required registration information You submit is truthful and accurate and (b) You will maintain the accuracy of such information.
  
• You may not transfer your account to someone else or use someone else’s account.
  
• You must be at least 18 years of age to create an account on Arenpi and use the Services.
  

If we discover that you have created an account that violates these rules, we will terminate your account.

Except as expressly provided herein in section 5, License Agreement between You and Arenpi, You may not download (other than page caching) or modify the Site or any portion of it without our express, prior written consent. This includes: a prohibition on any resale or commercial use of the Site or its Content; any collection and use of any product listings, descriptions, or prices; any derivative use or making adaptations of the Site or its Content; any downloading or copying of account information for the benefit of another merchant; and any use of data mining, screen-scraping, robots, or similar data gathering and extraction tools. The Site or any portion of the Site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without our express, prior written consent.

You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) without our express, prior written consent. You may not use any meta tags or any other “hidden text” utilizing our name or trademarks without our express, prior written consent.

4.1. Content

You understand that you are solely responsible for any image, 3D Models in any format, footage, text, audio, or any other content that you upload or post to the Site (“Your Content”) . You represent that you have all necessary rights to Your Content and that you’re not infringing or violating any third party’s rights by posting it.

If Your Content is alleged to infringe another person’s intellectual property, we will take appropriate action, such as disabling it if we receive proper notice or terminating your account if you are found to be a repeat infringer. We’ll notify you if any of that happens.

You agree that you will not post any content that is abusive, threatening, defamatory, obscene, vulgar, or otherwise offensive.

4.2. Rights you grant Arenpi

// By posting Your Content through our Services, you grant Arenpi a license to use it. We don’t claim any ownership to Your Content including 3D Models, but we have your permission to use it to help Arenpi function and grow , and to share Your Content to anyone through any media, including promoting it via advertising on other websites. That way, we won’t infringe any rights you have in Your Content and we can help promote it. //

In legal language, By posting Your Content, you grant Arenpi a limited, non-exclusive, worldwide, royalty-free, sub-licensable, right to copy, use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of Your Content for the purpose of allowing you to edit and display Your Content using the Site and archiving. For Your Content, you represent and warrant that Arenpi will not need to obtain licenses from any third party or pay royalties to any third party with respect to Your Content.

The above licenses will continue unless and until you remove Your Content from the Site, in which case the licenses will terminate within a commercially reasonable period of time. Notwithstanding the foregoing, the license for legal archival/preservation purposes will continue indefinitely.

If you are a designer, make sure you understand all the copyright restrictions set forth in the Designer Terms before you submit any content for publication on Arenpi.

If any User has published content that infringes your copyright or trademark rights, please let us know.

Under the terms of this Section, Arenpi gives You permission to download and utilize Arenpi content which you have paid all required fees. All rights over the Arenpi content that are not expressly granted to the User by this license are reserved by the Company and its licensors.

6.1. Subscription Plans

In order to download any 3D Models in any format (.STL, .gcode, etc) and access some of our services, you must first purchase a subscription through the Website (the ‘Subscription’) and pay the applicable fee for the selected Subscription (the ‘Subscription Fee’).

The subscription that you purchase or renew determines the scope, features, and price of your access to a Subscription Plan. You may not transfer, assign, or share your subscription with anyone else.

6.2. Delivery

In our system, designers share their 3D Model or 3D Models and related contents as a monthly pack. These monthly packs are not downloadable unless it is unlocked by You. After you purchased one of our subscription plans, you are granted to unlock items in the quantities specified on the subscription plan. Our System allows you to unlock 3D Models of the month at the time you purchased your subscription. After you unlock the items you choose, it will be available for downloading.

There is no download limit after it is unlocked. However, any unused unlocks do not roll over into the following month. If you run out of unlocks before the month ends, you’ll need to wait until the next month to download more or contact us to upgrade your plan.

Our month to month subscription plans give you an access to Arenpi standart license.

6.3. Management of subscription & Renewals

You may cancel your subscription on your profile page. If you cancel your subscription to a Subscription Plan, your access to that Subscription Plan will automatically end on the last day of your billing period. On cancellation, you will continue to have access to your subscription benefits until the end of your subscription period, at which point it will expire. On cancellation, you will not be entitled to receive a refund or credit of any fees already paid for your subscription, unless otherwise required by applicable law. Since some of our Services may be utilized without a subscription, canceling your subscription does not remove your profile from our Services. If you wish to fully terminate your membership, you must terminate your membership as set forth in Section 10.

If you purchase a subscription, it will automatically renew monthly on your billing cycle —and you will be charged—until you cancel.

6.4. Payment & Billing

If you subscribe to one of our subscription plans, You agree to pay the prices displayed to you for the subscription plan you’ve selected as well as any sales or similar taxes that may be imposed on your payments (and as may change from time to time). And You authorize us to charge your debit or credit card or process other means of payment. Depending on your location, the price you see may include such taxes, or tax may be added at checkout.

Since our system allows you to unlock 3D Models of the month at the time you purchased your subscription , our billing cycle is on the 1st day of each month. A new month of service is charged around 4 days in advance to ensure uninterrupted access to our library.

If a payment is not successfully processed, due to expiration, insufficient funds, or otherwise, you remain responsible for any uncollected amounts and authorize us to continue billing the Payment Method, as it may be updated. This may result in a change to your payment billing dates.

We reserve the right to change our Subscription Plans or adjust pricing for our Services at our sole discretion. Any price changes or changes to your subscription will take effect following notice to you, except as otherwise required by applicable law.

6.5. Refunds

Since we provide non-tangible, irrevocable goods, we do not issue refunds for digital products once the order is confirmed and product is sent. Please note that we offer digital products, so there is no way to close access to the files that you’ve already received.

However we can refund if there is technical problem with the digital product you purchased. We consider a technical problem if;

Product is not-as-described: such issues must be reported to our technical support within 30 days from the date of the purchase. Clear evidence must be provided proving that the purchased product is not as it is described on the product description page. Complaints which are based merely on the customer's false expectations or wishes are not honored.

As a customer You are responsible for understanding this upon purchasing any item at our site. There is no obligation to provide a refund or credit in the following situations:

• You change your mind about an item;
  
• You bought an item by mistake;
  
• You do not have sufficient expertise to use an item;
  

Arenpi takes your privacy seriously and any information provided through your use of the Website and/or Services are subject to Arenpi’s Privacy Policy, which is available on the Website

Arenpi and its Users hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Arenpi nor its designers and Users, makes any warranty that the Website will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Website at your own discretion and risk.

Use of the Website and the Services is at your own risk. Everything on the Website and the Services is provided to you “as is” and “as available” without warranty or condition of any kind. None of the affiliates, directors, officers, employees, agents, designers and Users of Arenpi make any express or implied representation or warranty about the Services or any products or Services (including the products or Services of Arenpi) referred to on the Website. includes (but is not restricted to) loss or damage you might suffer as a result of any of the following:

Our Services may contain links to third-party websites or services that we don’t own or control (for example, links to Facebook, Twitter, and Pinterest ). You may also need to use a third party’s product or service in order to use some of our Services (like a compatible mobile device to use our mobile apps). When you access these third-party services, you do so at your own risk. The third parties may require you to accept their own terms of use. Arenpi is not a party to those agreements; they are solely between you and the third party.

To the extent not prohibited by law, in no event shall Arenpi and its Users be liable for personal injury, or any incidental, special, indirect or consequential damages whatsoever, including, without limitation, damages for loss of profits, loss of data, business interruption or any other commercial damages or losses, arising out of or related to your use or inability to use the Website, however caused, regardless of the theory of liability (contract, tort or otherwise) and even if Arenpi has been advised of the possibility of such damages.

Upon termination of Your rights under these Terms, Your Account and right to access and use the Site will terminate immediately. You understand that any termination of Your Account may involve deletion of Your User Content associated with Your Account from our live databases. Arenpi will not have any liability whatsoever to You for any termination of Your rights under these Terms, including for termination of Your Account or deletion of Your User Content.

Survival: Even after Your rights under these Terms are terminated by Arenpi or by You, the Provisions of these Terms shall survive the expiration or termination of these Terms

You agree to indemnify and hold harmless Arenpi, its affiliates, employees, agents, contributors, third party content providers and licensors from and against:

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed following the laws of Delaware, USA, if You access the Site in the US, and the laws of Turkey will apply if You access the Site outside the US, to any disputes arising out of or relating to these Terms, without regard to conflict of laws principles.

In the event of any conflict between these Terms of Use and any license agreement you enter with Arenpi, the terms of such license agreement shall control.
